Please read these Terms of Use carefully. These Terms govern your access to and use of the Moura Stock Dogs Auction website and online auction services. For the rules governing the sale of dogs through the Site, including bidding, maximum or proxy bidding, soft-close extensions, reserves, payment, default, pickup, and delivery, please review our Conditions of Sale. For information regarding how we collect, use, and protect personal information, please review our Privacy Policy.

Agreement to these terms

These Terms of Use define the relationship between Moura Stock Dogs LLC ("Moura Stock Dogs," "we," "us," or "our") and you, the person accessing or using the Moura Stock Dogs Auction website and related online auction services (collectively, the "Site").

Moura Stock Dogs LLC owns and operates the Site.

By completing bidder registration, accepting these Terms of Use, and/or accessing the Site to place a bid or participate in an auction, you acknowledge that you have read, understood, and agree to be bound by:

these Terms of Use;
our Privacy Policy; and
our Conditions of Sale.

Eligibility

Each of those documents is incorporated into these Terms by reference where applicable.

You may register as a bidder and use the Site to place bids only if you are at least 18 years of age, are legally capable of entering into a binding contract, and are not prohibited from using the Site under applicable law.

If you do not agree to these Terms, you must not register as a bidder or use the Site to place bids.

Changes to these terms

Moura Stock Dogs may amend these Terms of Use from time to time by posting a revised version on the Site.

The "Updated" date at the top of this page identifies the current version.

If these Terms are materially revised after you previously accepted them, Moura Stock Dogs may require you to review and affirmatively accept the updated Terms before placing additional bids or continuing to use certain features of the Site.

The Site may maintain an electronic record of your acceptance of these Terms, including the version accepted and the date and time of acceptance.

Moura Stock Dogs may modify, suspend, restrict, or terminate access to all or any portion of the Site at any time as permitted by these Terms and applicable law.

Accounts and bidder registration

To become eligible to bid, you must complete the Moura Stock Dogs bidder registration process.

Account creation and bidder registration occur together as one process. You do not need to create a separate general website account before registering as a bidder.

Registration requires you to provide all information requested by Moura Stock Dogs, which may include:

your full legal name;
email address;
telephone number;
complete address;
login credentials;
acceptance of applicable legal agreements; and
a valid credit or debit card for bidder verification.

Verification card

The verification card is handled securely through a third-party payment processor.

Moura Stock Dogs does not store your full card number or card security code.

The verification card is used for bidder verification, account security, and fraud-prevention purposes.

The verification card is not used to pay for dogs purchased through the auction. Winning bidders are invoiced separately by Moura Stock Dogs after the applicable auction closes.

Approval

Submission of a bidder registration does not automatically grant bidding privileges.

Each registration is subject to review and approval by Moura Stock Dogs. You may not place bids until your registration has been approved.

Moura Stock Dogs reserves the right, in its sole discretion, to:

approve or reject a bidder registration;
request additional information before approval;
establish or modify bidding limits;
suspend or restrict bidding privileges;
revoke bidding privileges; or
permanently prohibit an account from participating in future auctions.

Permanent bidder number

Once approved, a bidder may be assigned a permanent bidder number associated with that bidder's account.

The permanent bidder number remains associated with the bidder's account for future Moura Stock Dogs auctions and may be used as the bidder identity displayed in public bid histories.

Accuracy and updating of account information

You are responsible for keeping all information associated with your bidder account complete, accurate, and current.

If you have not accessed your bidder account for 60 days or more, the Site may require you to review and confirm that your contact information, address, and verification card remain current before you may place additional bids.

Moura Stock Dogs may also require you to update or reconfirm account information at any other time if information appears incomplete, inaccurate, outdated, or invalid.

If you provide information that is false, inaccurate, incomplete, outdated, misleading, or belongs to another person, Moura Stock Dogs may suspend or terminate your account and refuse current or future use of the Site.

Communications and notifications

By creating a bidder account and providing an email address and telephone number, you agree to receive account- and auction-related communications from Moura Stock Dogs by email and/or text message, as permitted by applicable law.

These communications may include, without limitation:

bidder registration notices;
bidder approval or rejection notices;
account and verification notices;
auction reminders;
bid confirmations;
outbid notifications;
auction closing notices;
winning-bid notifications;
invoices and payment-related communications;
pickup and transportation information;
security notices; and
other communications related to your account or participation in Moura Stock Dogs auctions.

Message rates

Message and data rates may apply to text messages.

Providing an email address and telephone number is necessary for the operation and administration of a bidder account.

Account security

You are responsible for maintaining the confidentiality and security of your login credentials.

You are responsible for all activity occurring through your bidder account, including bids placed through the account.

Bids submitted through your account are presumed to have been authorized by you unless Moura Stock Dogs determines otherwise in its sole discretion.

You may not allow another person to use your bidder account or bidder number without authorization from Moura Stock Dogs.

You must notify Moura Stock Dogs promptly if you believe:

your account has been accessed without authorization;
your password or login credentials have been compromised;
someone else has placed a bid through your account; or
any other unauthorized account activity has occurred.

Responsibility for losses

To the maximum extent permitted by law, Moura Stock Dogs is not responsible for losses arising from unauthorized use of your account where such use results from your failure to reasonably protect your login credentials.

You agree to indemnify and hold Moura Stock Dogs harmless from claims or losses resulting from improper, fraudulent, unauthorized, or illegal use of your account to the extent permitted by applicable law.

Bidding

Every bid submitted by or through your account constitutes a legally binding offer to purchase the applicable dog.

This includes bids automatically placed by the Site's maximum or proxy bidding system on your behalf up to a maximum amount authorized by you.

Bids cannot be withdrawn or retracted after submission except where Moura Stock Dogs expressly permits otherwise.

You are responsible for reviewing the amount of a bid before submitting it.

Detailed auction rules, including:

bid increments;
maximum or proxy bidding;
soft-close extensions;
reserve prices;
winning-bid determinations;
settlement;
default;
pickup; and
delivery

Conditions of Sale control

are set forth in the Conditions of Sale, which govern every auction conducted through the Site.

In the event of a conflict between these Terms of Use and the Conditions of Sale regarding the actual bidding or sale of a dog, the Conditions of Sale control with respect to that transaction.

Content and intellectual property

All text, photographs, videos, dog descriptions, pedigrees, graphics, artwork, logos, trademarks, software interfaces, website design, and other content made available through the Site (collectively, "Content") are owned, controlled, or licensed by or to Moura Stock Dogs unless otherwise indicated.

The Content is protected by applicable copyright, trademark, intellectual-property, and unfair-competition laws.

Moura Stock Dogs grants you a personal, limited, revocable, non-exclusive, and non-transferable right to access and use the Site for its intended purpose and in accordance with these Terms.

Unless expressly permitted by Moura Stock Dogs, you may not:

copy;
reproduce;
republish;
scrape;
download in bulk;
publicly display;
distribute;
modify;
sell;
commercially exploit; or
create derivative works from
the Site or its Content.

Ownership

Nothing in these Terms transfers ownership of any Moura Stock Dogs intellectual property to you.

Prohibited uses

You may not use the Site for any unlawful, fraudulent, abusive, malicious, or improper purpose.

Without limiting the foregoing, you may not:

provide false or fraudulent bidder information;
impersonate another person;
create accounts using information belonging to another person without authorization;
place bids that you do not intend to honor;
manipulate bidding or auction results;
engage in collusive bidding;
engage in shill bidding;
coordinate with another bidder for the purpose of improperly affecting an auction;
attempt to access another bidder's account;
attempt to obtain another user's login credentials;
interfere with or disrupt the operation of the Site;
interfere with the auction server or bidding process;
attempt to bypass security, authentication, or bidder-approval measures;
introduce viruses, malicious code, automated attacks, or other harmful technology;
scrape, crawl, or systematically extract Site information without permission;
attempt to reverse engineer or improperly access Site software or systems;
use automated bidding technology except functionality expressly provided by the Site;
use the Site in violation of applicable law; or
engage in conduct that Moura Stock Dogs reasonably determines threatens the fairness, security, or integrity of the auction.

Consequences

Violation of this section may result in immediate suspension or termination of your account, cancellation or invalidation of bids where appropriate, revocation of bidding privileges, and any other remedy available to Moura Stock Dogs under the Conditions of Sale or applicable law.

Third-party services and links

The Site may use third-party service providers to perform functions such as:

card and bidder verification;
account authentication;
website hosting;
database services;
email and text communications;
video hosting;
analytics;
security; and
other Site functionality.

External links

The Site may also contain links to third-party websites or services, including breed registries, transportation providers, laboratories, veterinarians, video-hosting services, and other resources.

Third-party services and websites are not under Moura Stock Dogs' control.

Moura Stock Dogs is not responsible for the availability, content, security, privacy practices, policies, representations, or conduct of third-party services or websites.

Your use of a third-party service may also be subject to that provider's own terms, conditions, and privacy policy.

Disclaimer of warranties — site and services

THE SITE AND ONLINE AUCTION SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MOURA STOCK DOGS DISCLAIMS ALL WARRANTIES REGARDING THE OPERATION OF THE SITE, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

MOURA STOCK DOGS DOES NOT WARRANT THAT:

THE SITE WILL ALWAYS BE AVAILABLE;
ACCESS WILL BE UNINTERRUPTED;
THE SITE WILL BE ERROR-FREE;
EVERY NOTIFICATION WILL BE DELIVERED;
INTERNET OR MOBILE CONNECTIONS WILL FUNCTION WITHOUT DELAY;
THE SITE WILL BE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; OR
EVERY TECHNICAL ERROR WILL BE PREVENTED.

External factors

Internet-based auction services may be affected by network delays, device problems, browser issues, third-party outages, service-provider failures, or other circumstances outside the control of Moura Stock Dogs.

The Conditions of Sale separately govern the dogs offered for sale and any warranties or disclaimers applicable to those transactions.

Some jurisdictions do not permit certain warranty disclaimers, so some portions of this section may not apply to you.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MOURA STOCK DOGS LLC AND ITS OWNERS, OFFICERS, EMPLOYEES, REPRESENTATIVES, AND AGENTS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, EXEMPLARY, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR RELATING TO:

YOUR USE OR INABILITY TO USE THE SITE;
INTERRUPTION OR FAILURE OF THE SITE;
DELAYED OR UNDELIVERED NOTIFICATIONS;
LOSS OF DATA;
UNAUTHORIZED ACCOUNT ACCESS;
THIRD-PARTY SERVICES;
INTERNET OR CONNECTION FAILURES; OR
OTHER USE OF THE ONLINE AUCTION SERVICES,
INCLUDING LOST PROFITS OR LOST BUSINESS OPPORTUNITIES, EVEN IF MOURA STOCK DOGS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Required liability

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited under applicable law.

Suspension and termination

Moura Stock Dogs may suspend, restrict, or terminate your account or access to the Site if:

you violate these Terms;
you violate the Conditions of Sale;
you provide inaccurate or fraudulent information;
you fail to complete payment for an auction purchase;
you misuse the Site;
your activity presents a fraud, security, or legal risk;
your conduct threatens the integrity of an auction; or
Moura Stock Dogs otherwise determines that suspension or termination is reasonably necessary to protect the Site, its users, or the auction process.

Surviving obligations

Suspension or termination of an account does not eliminate any existing obligation arising from bids placed or purchases made before suspension or termination.

Electronic records and communications

You agree that notices, disclosures, agreements, auction communications, records, and other information relating to your use of the Site may be provided electronically.

Electronic records may include records of:

bidder registration;
policy acceptance;
account confirmations;
bids;
maximum or proxy bids;
bidder approvals;
account changes;
auction results; and
other Site activity.

Legal sufficiency

You agree that electronic records and communications may satisfy legal requirements that information be provided or maintained in writing to the extent permitted by applicable law.

Governing law

These Terms of Use and any dispute arising out of or relating to them shall be governed by the laws of the State of Texas, United States, without regard to principles of conflict of laws.

Severability

If any provision of these Terms of Use is determined to be invalid, unlawful, or unenforceable, that provision shall be enforced to the maximum extent permitted by law, and the remaining provisions shall remain in full force and effect.

Entire agreement

These Terms of Use, together with the Privacy Policy, Conditions of Sale, and any other terms expressly applicable to a particular feature or auction, constitute the agreement governing your use of the Site.

Nothing in these Terms changes or eliminates obligations arising under an individual auction transaction or the applicable Conditions of Sale.
